1. Introduction
By using Celligent's services at https://www.celligent.ai/, you confirm your acceptance of, and agree to be bound by, these terms and conditions.

2. Agreement to Terms and Conditions
This Agreement becomes effective on the date you first use the Celligent website or services.

3. AI Service License and Access
Celligent provides artificial intelligence services powered by advanced language models through our API integrations. Our services are designed to assist users with various AI-powered tasks and interactions.
Access to our services is provided on a session-by-session basis without data retention. We reserve the right to modify, suspend, or terminate access to our services at any time, with or without notice, to ensure service quality, security, or compliance with applicable laws and regulations.

4. No Data Storage Policy
Celligent does not store, retain, or save any user data, conversations, or inputs. All interactions are processed in real-time through our third-party AI service providers (including OpenAI API) configured with no-data-retention settings. Your privacy is maintained through our zero-storage approach.

5. Refunds
Due to the nature of our AI services and our no-data-retention policy, refunds cannot be provided once services have been accessed or utilized.

6. Disclaimer
Celligent does not guarantee that our AI services will meet your specific requirements or operate uninterrupted and error-free. AI-generated content may contain inaccuracies, and users should verify important information independently. All express and implied warranties or conditions not stated in this Agreement (including without limitation, loss of profits, loss or corruption of data, business interruption, or loss of contracts) are excluded and expressly disclaimed. This Agreement does not affect your statutory rights.

7. Warranties and Limitation of Liability
Celligent does not provide any warranty, guarantee, or other term regarding the accuracy, completeness, or fitness for purpose of AI-generated content or services. Celligent shall not be liable to you for any indirect, special, or consequential loss, damage, costs, expenses, or other claims arising out of or in connection with the provision of AI services, unless caused by fraud or negligence.
Celligent shall not be liable for any delay or failure to perform its obligations due to causes beyond its reasonable control, including but not limited to third-party API limitations or outages. Notwithstanding any contrary provisions in this Agreement, if Celligent is deemed liable to you, its liability is limited to the amount paid by you for the services.

8. User Responsibilities
Users are responsible for:
    - The content they input into our AI services
    - Ensuring their use of our services complies with applicable laws and regulations
    - Verifying the accuracy of AI-generated content before relying on it for important decisions
    - Not using our services for illegal, harmful, or unethical purposes
    - Understanding that AI-generated content may not always be accurate or appropriate

Users must ensure that their inputs do not infringe on any third-party rights and comply with our acceptable use policies.

9. Data Collection and Privacy
Consistent with our no-data-storage policy, Celligent does not collect, store, or retain personal information, conversation history, or user inputs. Any data processing occurs solely during your active session and is immediately discarded. Please refer to our Privacy Policy for detailed information about our data handling practices.

10. Human Review and Verification Requirement
IMPORTANT: All AI-generated content and outputs from Celligent services require final review, verification, and approval by a human user before implementation or use in any critical application.

Users must:
    - Carefully review all AI-generated content for accuracy, appropriateness, and compliance with their specific needs
    - Verify factual information through independent sources when necessary
    - Take full responsibility for any content or decisions based on our AI services
    - Acknowledge by digital signature or explicit agreement that they have reviewed and approved any AI-generated content before use

By using our services, you agree to this human oversight requirement and acknowledge that Celligent is not responsible for consequences arising from unreviewed or unverified AI-generated content.

11. Service Modifications
Celligent reserves the right to modify, update, or discontinue services at any time to improve functionality, security, or compliance. We will make reasonable efforts to notify users of significant changes.

12. General Terms and Law
All matters relating to our Platform and these Terms, and any dispute or claim arising therefrom or related thereto (including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of of that particular state/ jurisdiction where we sell our products or services, without giving effect to any choice or conflict of law provision or rule.
Venue for all actions related to these Terms shall be in courts located in Delaware. The parties consent to the personal jurisdiction and subject matter jurisdiction of such courts. Furthermore, the parties waive any defenses of lack of personal or subject matter jurisdiction and improper venue concerning the validity, enforceability, and any resulting damages or injunctions from breaches of these Terms.
